Which documents form your agreement with us
This offer applies together with the invoice, statement of work, correspondence, approved media plan and any appendices sent to you before payment. If documents conflict, priority is given to a separately signed agreement, then the statement of work, then the invoice, then this offer.
The provider is the person or entity named on the invoice. The client is the legal entity, sole proprietor or individual accepting this offer. You confirm that the person approving the work and paying the invoice is authorised to act on the client’s behalf.
Before publishing this offer, the provider must state its full legal name, tax identification number, correspondence address and working email address in the website footer or company details.
What the ordered service includes
The exact scope is set out in the statement of work. It may include building and checking a company list, finding contacts, preparing sending infrastructure, writing copy, sending messages, handling inbound replies, handing over conversations and reporting. We do not take on the role of your sales department unless this is agreed separately. Deliverables may include prepared materials, technical set-up, contact lists, sent outreach, qualified enquiries or handed-over conversations. How you accept the terms and set the task
- You receive an invoice, a work description or a statement of work.
- You review the service scope, price, source information and restrictions.
- You pay the invoice or confirm another acceptance method in writing.
- We agree working contacts, the process for transferring materials and the communication channel.
- We begin after receiving payment and the information required to start.
If you send changes after the task has been agreed, we assess their effect on timing, price and work already completed. A new audience, different product, additional channel, revision of approved copy or a relaunch is not automatically included in the original scope.
You provide materials and access within a reasonable time through the agreed channel. You are responsible for the accuracy of the product description, prices, offer terms, regional restrictions and permitted wording. See how we work for the launch process.
How payment and delivery work
The invoice or statement of work specifies the price, currency, taxes, project stages and payment deadline. Unless agreed otherwise in writing, we may defer the next stage until the preceding stage is paid.
After completing a stage, we send a report, deliverable or completion certificate through the agreed channel. If you submit reasoned comments within the period stated in the invoice, certificate or correspondence, we will agree the required revisions within the task scope. A request to change strategy or the offer after launch is a new task.
A refund is available only for the unperformed portion of services, taking completed work and incurred costs into account. Paid access, domains, services, prepared lists and other results created for your task are accounted for separately where the invoice provides for this.
What each party is responsible for
OT9 performs the agreed scope, keeps received materials under restricted access, reports material obstacles and delivers results in the agreed format. We may involve specialists and services needed to fulfil the order while remaining responsible for our part of the work.
You provide accurate information about your company and product, respond to requests in time, pay for services, review delivered materials and make your own commercial decisions on leads. You warrant that lists, copy, trademarks, access credentials and other materials you provide may be used for the agreed task.
When processing contact data, both parties act within the purpose of the order and applicable requirements. Our approach is set out in the Privacy Policy.
When the service cannot be provided or will not produce the result you expect
We may pause work if you do not provide required materials, request inaccurate claims, fail to approve copy, do not pay for a stage, or ask us to use communication methods that create an unacceptable legal or reputational risk.
This service is not for you if you expect guaranteed sales, a fixed number of meetings or a reply from a preselected company. An outbound campaign creates and handles relevant contacts; purchasing decisions, deal timing, budgets and decision-maker participation are outside our control.
We are also not responsible for third-party platform restrictions, rule changes, email-service outages, recipients’ actions or your decisions after a lead is handed over. Review what counts as a result before launch.
How terms change and disagreements are resolved
We may update this offer for future orders. An accepted order is governed by the version in force on its acceptance date unless both parties agree changes in writing.
The parties first try to resolve disagreements in correspondence by describing the issue, attaching relevant documents and proposing a solution. If no agreement is reached, the dispute is handled under applicable law and any separately signed agreement.
